When we publish a material change to it, existing customers are asked to accept the new version. Until they do — after a 30-day grace period — bulk upload, API bulk submit and connector sync are blocked. Reading data, downloading existing exports and downloading invoices are never blocked.

These Terms govern your organisation's use of the VerifyPro email verification service operated by VerifyPro Technologies Ltd. ("we", "us"). By creating an account, accepting them in-product, or using the API, your organisation ("you") agrees to them.

1. What we provide

Evaluation of email addresses you submit, using syntax, DNS, MX, SMTP and risk-signal checks, and the return of a status, a sub-status and a confidence score for each address. We provide the service; we do not provide the addresses, and we do not warrant that any address is deliverable. See the Accuracy Policy, which forms part of these Terms.

2. Your account

  • You are responsible for everything done under your account, including by your users and by anything holding an API key you issued.
  • API secrets are shown once at creation and stored only as a cryptographic hash. We cannot recover one for you; you rotate it.
  • You must keep the billing and security contact addresses on your organisation current. Notices we are required to give you — including sub-processor change notices — are sent there.

3. What you may submit

You warrant that you have a lawful basis to process every address you submit and the right to submit it for verification. That warranty is captured as an attestation on your organisation, refreshed every twelve months; where it is missing or expired, address ingest is refused with 403 attestation_required. Reading your existing data and downloading your existing exports are never refused for this reason.

The Acceptable Use Policy lists what you may not submit and forms part of these Terms.

4. Credits, payment and tax

  • Credits are the only internal currency. A purchase lands in your wallet as a ledger entry and every deduction is traceable to a single verification attempt.
  • You are billed per unique mailbox, not per uploaded row. Duplicates in a file collapse before billing.
  • Prices are published per currency as independent price lists, not as conversions of one another. The price that applies is the one published in your billing currency at the moment of purchase.
  • Prices exclude tax. Tax is computed at checkout from your billing country and shown before you pay.
  • Refunds are governed by the Refund Policy.

5. Availability

We operate the service on a commercially reasonable basis and publish live component health at our status page. Unless a separate written service-level agreement is in force for your organisation, the service is provided without an uptime commitment. Planned maintenance is announced in-product and on the status page.

6. Changes to these Terms

We version this document. A material change requires your re-acceptance and is announced in-product with a 30-day grace period from its effective date. During the grace period you see a banner and nothing is blocked. After it, and until you accept, exactly three surfaces close: bulk upload, API bulk submit and connector sync. Dashboard access, single verification, export download and invoice download remain open, because a disagreement about terms must never trap your data with us.

Non-material corrections — a typo, a changed contact address — do not require re-acceptance and never gate anything.

7. Suspension and termination

  • You may close your account at any time. On closure you have 30 days to export your data, after which we delete the data we hold as your processor.
  • We may suspend an account immediately for a breach of the Acceptable Use Policy that is causing or is likely to cause harm to third parties, to our verification network's reputation, or to us. We will tell you why.
  • We may suspend for non-payment after notice. Suspension for non-payment does not delete your data during the return window.
  • Unused paid credits remaining at termination are refunded on the terms of the Refund Policy.

8. Data protection

For addresses you submit and results derived from them we act as your processor, and the Data Processing Agreement applies and forms part of these Terms. For account, user, billing and login data we act as a controller; the Privacy Policy describes that role.

9. Intellectual property

You keep everything you upload and everything derived from it. We keep the service, the software, and the aggregate domain-level intelligence datasets described in the DPA — which contain no address-level personal data and are ours as controller.

10. Liability

Nothing in these Terms limits liability that cannot lawfully be limited, including for death or personal injury caused by negligence, or for fraud. Subject to that, and to the maximum extent permitted by law: neither party is liable for indirect or consequential loss, or for loss of profit, revenue, goodwill or anticipated savings; and each party's aggregate liability arising out of these Terms in any twelve-month period is limited to the fees you paid us in that period.

We are not liable for a decision you take on the basis of a verification result. A verification result is evidence about an address at a moment in time, and the Accuracy Policy sets out its limits plainly.

11. Governing law

These Terms are governed by the law of the jurisdiction named on this document, and the courts of that jurisdiction have exclusive jurisdiction over any dispute arising out of them.
